The LiveXtra Program is an additional service on Shopee where Shopee-registered Sellers (referred to as 'Seller,' 'Participating Seller,' or 'you') may utilize marketing solutions services provided by Shopee (Thailand) Co., Ltd., and/or affiliated companies (collectively referred to as ‘Shopee’.)
The Terms and Conditions for Participation in the LiveXtra Program (“Terms and Conditions”) including the Terms of Services, Privacy Policy, and other Shopee policies published on Shopee site accessible at www.shopee.co.th (collectively referred to as 'Shopee Policies'), as well as any other documents expressly stated in this Terms and Conditions including any amendments or replacements thereof (collectively referred to as the 'Agreement'), entered into between you and Shopee, govern the Program and your access to the Platform.
 
You agree and acknowledge that your participation in the LiveXtra Program will be deemed valid and effective solely in accordance with the Terms and Conditions upon your registration using the methods provided below. By registration through the specified methods, you acknowledge, accept, and agree to abide by this Terms and Conditions rigorously.
 
1. Definition 
1.1. Unless explicitly defined in the Terms and Conditions, all definitions herein shall carry the same meaning as defined in Shopee Policies. 
1.2. "Livestream" means the sale of Products by Participating Sellers through a live broadcast (Live) on the Platform. 
1.3. "Livestream Participating Products" means all Products within the Shops of Participating Sellers which buyers can purchase during the Livestream session. 
1.4. "Non-eligible Participating Products" means tickets and vouchers, infant milk powder (formula 1 and 2), gold bars, gold sheets, gold jewelry (including but not limited to gold necklaces, rings, earrings, and bracelets), diamonds and jewelry containing diamonds (including diamond necklaces, rings, earrings, and bracelets), as well as products subjected to legal regulations. 
1.5. "Order via Livestream" means a completion of an approved sale and/or purchase transaction of a Product between a Buyer and a Participating Seller on the Platform through the shopping bag system displayed in the Livestream in accordance with Shopee’s Policies which occurs during the Livestream only (the system will display the phrase "Added From Live" on the shopping cart page before proceeding to payment.) and such Buyer: 
(1) is not a computer-generated user, such as a robot, spider, computer script or other
(2) automated, artificial or fraudulent method to appear like an individual, real life person; 
is not using pre-populated fields;
(3) completes all of the information required for the Completed Purchase within the time period allowed by Shopee, and; 
(4) is not later determined by Shopee to be fraudulent, incomplete, unqualified or a duplicate. 
 
2. Participation Requirements 
2.1. Registration Information. Participating Seller shall provide any information requested by Shopee for the purpose of Program registration. Sellers affirm to Shopee that the provided information is true, accurate, and complete. In the event of any false, inaccuracies, or incomplete in the information provided by Participating Sellers, Shopee reserves the right to immediately terminate their participation in the Program without prior notice. 
2.2. Validity of Participation. Your participation in the Program is valid only if: you completely fill in the information as specified in the Shopee Form, accessible at Seller Center (https://seller.shopee.co.th/) in the “Campaign” page and acknowledge and accept this Terms and Conditions, as well as submit such Shopee Form to Shopee. 
You are only allowed to submit the Shopee Form to Shopee once, and you cannot cancel or request modifications to the Shopee Form under any circumstances. If you wish to amend your application to participate in the program, you must submit the Shopee Form to Shopee again. Shopee will consider only the information provided in the latest received version of the Shopee Form
2.3. Consideration of Program Participation. Shopee reserves the right, at its sole discretion, to approve or reject a Seller's request to participate in the Program without providing regardless of whatever reasons. 
2.4. Sellers exclusively selling Non-eligible Participating Products will be ineligible for the Program participation. 
 
3. Duration of Program Participation 
3.1. Under Clause 2.3, if you submit the Shopee Form for Program participation to Shopee by 5:00 p.m. by Tuesday, your participation will take effect on Wednesday of the same week. If the Shopee Form is submitted after 5:00 p.m. by Tuesday, your participation in the Program will commence on the Wednesday of the subsequent week. In the event that a Tuesday falls on a public holiday, Shopee reserves the right to adjust the cutoff date for program enrollment as deemed appropriated. Notification of your enrollment application result and the commencement of Program participation will be shown on Seller Center in the “Campaign” page > “LiveXtra” > “Application History”. 
3.2. Your participation in the Program will commence on the date specified in the “Application History” in Seller Center and will continue until the last day of the month in which your participation in the Program is effective and will be automatically renewed monthly unless terminated for any causes outlined in Clause 6. 
 
4. Details of the Program 
4.1. Upon the commencement of your participation in the Program, you will be entitled to the following benefits: 
(a) Become a Shop where Buyers can utilize Shopee vouchers to obtain discounts on the total value of the Order via Livestream. This will help promote sales and marketing in the Participating Seller's Shop. In light of this, Buyers will receive discounts at rates specified in the Shopee vouchers, which will be deducted from the total value of Livestream Participating Products purchased in each transaction (excluding Non-eligible Participating Products), up to the maximum amount set by Shopee per transaction. These discounts do not have a minimum order value requirement. (Hereinafter referred to as ‘Shopee Vouchers received by Sellers due to the Participation in the Program’.)
(b) Other benefits as deemed appropriate by Shopee, which may be subject to occasional changes. Participating sellers can verify other benefits they may receive at https://shopee.co.th/m/LiveXtraProgram. 
 
5. Service Fee, Additional Expenses, Payment Conditions, and Applicable Taxes 
5.1. The service fee under the Program will be charged according to the following rates ('Service Fee'). Participating Sellers may refer to Appendix No.1 attached herewith for a preview of calculation of Service Fee.
5.1.1. For Sellers who are not participating in the Free Shipping Xtra program (FSS) or the Discount Xtra program (CCB), or participating in the the Free Shipping Xtra program (FSS) or the Discount Xtra program (CCB) but are charged for the service fees at a special rate, 
3 percent (excluding VAT) of the total value of Order via Livestream of Livestream Participating Products (including Non-eligible Participating Products) (calculated from the total value before applying Shopee Vouchers received by Sellers due to Participation in the Program), plus the shipping fees borne by the Buyers (deducted by Seller’s Discounts). The Service Fee will be collected irrespective of whether the Buyer utilizes Shopee Vouchers received by the Sellers due to Participation in the Program in such purchase transaction or not and whether the Products are Non- eligible Participating Products or not.
5.1.2. For Sellers who are participating in the Free Shipping Xtra program (FSS) or the Discount Xtra program (CCB) and are charged for the service fees at a normal rate, 2 percent (excluding VAT) of the total value of Order via Livestream of Livestream Participating Products (including Non-eligible Participating Products) (calculated from the total value before applying Shopee Vouchers received by Sellers due to Participation in the Program), plus the shipping fees borne by the Buyers (deducted by Seller’s Discounts). The Service Fee will be collected irrespective of whether the Buyer utilizes Shopee Vouchers received by the Sellers due to Participation in the Program in such purchase transaction or not and whether the Products are Non- eligible Participating Products or not. 
5.2. Subject to Clause 5.1, throughout the period in which the Seller continues to participate in the Program, Shopee will conduct periodic check on the status of the Seller's participation in the Free Shipping Xtra program (FSS) or Discount Xtra program (CCB), and the service fees rate to be collected. These checks will be carried out within the 3rd business day of each month. Shopee reserves the right to adjust the Service Fee rates for the Program based on the results of such due diligence without prior notice. Shopee will initiate charging of the adjusted Service Fee for the Program on the Friday of the week following the week that the inspection is conducted. 
5.3. Participating Sellers agree to pay the Service Fee mentioned in Clause 5.1 to Shopee, and hereby consent to Shopee directly deducting such Service fee from the sales proceeds of the Participating Sellers after the completion and fulfillment of orders. 
5.4. Each party is responsible for paying all applicable taxes, duties, fees, and any other charges (if any) arising from or related to the Program as required by law. If applicable law mandates that you, as a corporate entity, withhold taxes on any payment to be made to Shopee, you shall calculate the amounts required to be withheld from any payment (before VAT) collected by Shopee and remit such withholding tax amount to the relevant Revenue Department in accordance with applicable law. You shall provide Shopee with official withholding tax receipts in the form acceptable within twenty (20) days from the date of payment of such withholding taxes to the relevant Revenue Department. Shopee, upon receipt of a valid withholding tax receipt issued for the retained amount from you, shall return the retained amount of withholding taxes to you within thirty (30) days. Failure to submit correct and complete documents within the specified time frame shall be deemed a waiver of your right to receive a refund of the withholding tax held by Shopee.
 
6. Termination of Program Participation 
6.1. Shopee reserves the right to terminate a Seller's participation in the Program for any reason, with prior written notice given to the Seller at least three (3) business days before the termination date. 
6.2. Participating Sellers may terminate their participation in the Program after being enrolled for a minimum of thirty (30) days by submitting a cancellation request form, accessible at Seller center in the “Campaign” page > “LiveXtra” > “Offboarding campaign”, to Shopee. Participating Sellers can submit the cancellation request form only once and cannot modify or cancel the request under any circumstances. 
If Participating Sellers submit a cancellation request form to Shopee by the last Tuesday of the month before 5:00 PM, Shopee will cancel the Program participation of such Participating Seller on the 1st day of the following month. However, if Participating Seller submits the withdrawal form after the specified deadline or if the last day of the month falls on a Tuesday, the withdrawal will not take effect on the 1st day of the following month but instead on the 1st day of the next following month.
6.3. If any of the following events occur, Shopee reserves the right to cancel the participation in the Program of Participating Sellers without prior notice. 
6.3.1. Participating Sellers have committed an illegal act or breached any agreements related to the Program under the Terms and Conditions. 
6.3.2. Participating Sellers discontinue business operations, ceases to conduct business (whether entirely or partially, except for internal restructuring of the Participating Seller's business structure), or files for bankruptcy, becomes insolvent, is placed under receivership (whether temporary or permanent), or enters into any agreement or arrangement for the benefit of its creditors as a whole. 
6.4. The termination of Participating Seller's participation in the Program, regardless of the reason, shall not relieve the Participating Sellers from any duties or obligations to Shopee arising before the date of termination of participation in the Program. Furthermore, it shall not affect any rights of Shopee to claim against the Participating Seller existing before the termination of participation in the Program. 
 
7. Miscellaneous 
7.1. The Participating Sellers hereby consent and agree to grant Shopee the right to access their non-financial personal information. This includes, but is not limited to, their seller accounts, information about Products listed on the Platform, data relating to promotions, and participation in campaigns with Shopee. Additionally, they agree to allow Shopee to undertake any necessary actions for the purpose of providing the services under this Program. 
7.2. Participating Sellers acknowledge and agree that, in participating in the Program under the Terms and Conditions and in providing such services to you, Shopee is required to transfer, disclose, use, and/or collect any information, which may include personal information or specific information of your shop and/or you, through the application. In light of this, you hereby acknowledge and agree that Shopee is authorized to process the aforementioned information for the sole purpose of providing the service. This consent shall remain effective indefinitely unless and until a written notification of a consent withdrawal is presented to Shopee. 
7.3. You agree and acknowledge that Shopee bears no liability to you or your shop for any loss or damage arising from or in connection with your participation in the Program. This includes, but is not limited to, direct damages, indirect damages, damages that may occur, special damages, punitive damages, damages resulting from violations of other intellectual property rights of any person, or related damages, including loss of sales, loss of profits, or business interruption, irrespective of the cause. 
7.4. Participating Seller will indemnify, defend, and hold harmless Shopee and its affiliates and their directors, officers, and employees from and against all claims, actions, losses, damages, liabilities, costs, and expenses, including attorneys’ fees and other legal expenses, arising directly or indirectly from or in connection with: (a) any breach by Participating Seller of the Terms and Conditions; (b) any failure of Participating Seller to perform its obligations under the Terms and Conditions in compliance with all applicable laws; or (c) Participating Seller’s fraud, negligence or willful misconduct. 
7.5. Shopee reserves the right to update, amend, or change any part or all Terms and Conditions, at Shopee’s sole discretion. If Shopee updates, amends, or changes Terms and Conditions, Shopee will notify the Participating Sellers of such updates, amendments or changes through Platform, Seller Center and/or email, as deemed appropriate by Shopee. If Participating Seller continues to place orders or participate in the Program after the effective date of the updates, amendments or changes, it shall be deemed that the Participating Sellers have accepted the updates, amendments or changes of the Terms and Conditions. 
7.6. The Program and its Terms and Conditions are established solely to promote sales for the Participating Sellers, and do not create any relationship resembling partnership, joint venture, agency, or employer-employee relationship between the Participating Sellers and Shopee. Neither party has the right to represent the other party, nor to undertake any actions that would bind the other party without prior written consent. 
7.7. You agree and acknowledge that the Terms and Conditions is subject to the Terms of Services, Privacy Policy, and other Shopee Policies published on the Shopee Site (www.shopee.co.th) (collectively referred to as “Shopee Policies”). By participating in the Program, you agree to strictly abide by Shopee Policies. In the event of discrepancies or conflicts between any terms and conditions of the Terms and Conditions and Shopee Policies, Shopee Policies shall prevail, except for the parts specifically related to the Program 
7.8. In the event that the Terms and Conditions is made in multiple languages, the Thai version will be the official version. In the event that interpretation is required or if there is any inconsistency, conflict, or discrepancy between the Thai language and any other language, the Thai version shall prevail, and other languages shall be used as translations for reference only.
